La singularidad de los principios y características que definen a las sociedades cooperativas genera problemas interpretativos, que se manifiestan con especial intensidad cuando devienen insolventes y es necesaria la aplicación del Derecho Concursal. Nuestro estudio se centra en las cuestiones que plantea la aplicación de la Ley Concursal a las sociedades cooperativas andaluzas. Para abordar el objeto de estudio hemos identificado aquellos aspectos que, a nuestro juicio, tienen una mayor relevancia a efectos concursales. En primer lugar, la estructura financiera de las sociedades cooperativas andaluzas caracterizada por un capital social variable y la existencia de unos fondos legales obligatorios irrepartibles (en el caso del Fondo de Formación y Sostenibilidad también inembargable). En segundo lugar, el modo en el que las sociedades cooperativas andaluzas desarrollan su actividad, donde analizamos la relación entre el socio y la cooperativa y el establecimiento de secciones. The singularity of the principles and characteristics which define the cooperative societies generate interpretive problems, which are manifested with special intensity when they become insolvent and it is necessary to apply the Bankruptcy Law. Our study focuses on the questions raised by the implementation of the Bankruptcy Act to Andalusian cooperative societies. To address the purpose of study we have identified those aspects which, from our point of view, are more relevant in the insolvency field. Firstly, the financial structure of Andalusian cooperative societies characterized by the variability of its social capital and by the existence of non-distributable mandatory legal funds (in the case of the Fund for Formation and Sustainability also non-impoundable). Secondly, the way in which the Andalusian cooperative societies develop their activity, where we analyze the relationship between the member and the cooperative and the establishment of sections.
